Secretary of the Board Job Description

Purpose:

To maintain all board records and ensure their accuracy and safety. The function of document retention is dependent on if the organization has staff and a physical office location.

Duties and Responsibilities:

  • Assist staff (if necessary) to prepare the board packet prior to the meeting
  • Review board packet before sending it to the board
  • Ensure that board members are notified of the times and dates of all meetings (delegate to staff)
  • Attend all board meetings
  • Ensure the notes of each meeting are captured (delegate staff person to take notes) so board secretary can participate in the meeting
  • Maintain records of the board to ensure their safety (delegate to staff)
  • Review board meeting minutes for accuracy before sending out to board
  • Sign approved board minutes
  • Keep an updated list of board members’ contact information including addresses phone numbers, and email (delegate to staff)
  • Assume the duties of president in the absence of the board president, president-elect or vice president
